BYLAWS OF THE
LAKE AREA EMERGENCY SERVICES
ASSOCIATION, Inc.
ARTICLE I
Name and Object of Association
SECTION 1. NAME. This organization shall be known as the Lake Area Emergency Services Association, Inc. hereinafter known as LAESA.
SECTION 2. OBJECT. The object of LAESA shall be to provide a forum in which member emergency service agencies may communicate with each other on a regular scheduled basis, and to provide structure in which member agencies may address Mutual concerns.
ARTICLE II
Mission Statement of the Association
It shall be the mission of LAESA that quality training and instructional programs be developed and delivered. Consistent with this philosophy the LAESA organization shall work with the state and regional training agencies to deliver at reasonable or no cost, courses that enhance and benefit LAESA members.
The LAESA organization shall take a proactive role in coordinating quality communication and frequency control with its members. This will allow member organizations to effectively communicate during emergency operations.
ARTICLE III
DIVISIONS: NAMES
SECTION 1. DIVISIONS. LAESA shall be divided into multiple divisions. The management division shall be known as the LAKE AREA EMERGENCY SERVICES ADMINISTRATORS, the second division shall be known as the LAKE AREA TRAINING OFFICERS, and the third division shall be known as the LAKE AREA CODE ENFORCEMENT OFFICERS.
ARTICLE IV
Directors
SECTION 1. GENERAL POWERS. The general management, property, and business of the organization shall be controlled and managed by the management division, LAKE AREA EMENRGENCY SERVICES ADMINISTRATORS. It shall oversee the other Divisions. All business shall be conducted by majority vote of the membership present at any scheduled meeting of the Lake Area Emergency Services Divisions.
SECTION 2. NUMBER, TENURE, AND QUALIFICATIONS. Each member agency shall provide one representative to act as a voting member of LAKE AREA EMERGENCY SERVICES ADMINISTRATORS. The members of the organization shall vote to elect the board of directors. The tenure and qualifications of each member representative will be determined by the agency he/she represents.
Each member representative shall be empowered to make the necessary decisions to conduct business on the behalf of the member agency.
SECTION 3. BOARD OF DIRECTORS. The board of directors will consist of the Officers of the LAKE AREA EMCEGENCY SERVICES ADMINISTRATORS as defined if Article VI of this document. The board of directors shall meet within the first quarter of the year following their election, to set their goals and objectives for the organization during their term of office. This meeting will also serve as the required annual meeting, and the record shall reflect such. The board may meet as many times as deemed necessary by the board members.
ARTICLE V
Divisions
SECTION 1. GENERAL POWERS. The LAESA Divisions shall address issues deemed of general concern to those activities provided to member agencies.
SECTION 2. NUMBER, TENURE, AND QUALIFICATIONS. Each member agency shall provide one representative to act as a member of the LAESA Divisions that their agency participates in. The number eligible to vote on matters requiring decisions shall equal the number of member agencies. The tenure and qualifications of each voting member of the Divisions will be determined by the agency he/she represents. Each member representative shall be empowered to make the necessary decisions to conduct business on the behalf of the member agency.
ARTICLE VI
Officers
SECTION 1. NUMBER. The officers of the Lake Area Emergency Services Administrators shall be Chairman, Vice-Chairman, Secretary, and Treasurer. The LAESA Division officers shall be Chairman, Vice-Chairman (optional), and Secretary.
SECTION 2. ELECTION AND TERM OF OFFICE. The member representatives shall elect the Officers of the respective Divisions annually. The term of office shall be one year. Elections shall be held at the last meeting of each calendar year. The newly elected officers shall take over the records and operations at that time.
SECTION 3. VACANCIES. Any Vacancy in any office may be filled at any regular meeting by election of a candidate by the member representatives at that meeting.
SECTION 4. CHAIRMAN. The Chairman shall be the principal executive officer of the Division he/she represents, and shall in general supervise and control all of the business affairs of the Division. He/she shall preside at all of the meetings. The Chairman of the Lake Area Emergency Services Administrators Division may sign, with the Secretary or any other proper officer checks and other documents. He/she shall perform all duties incidental to the office of Chairman, and such other duties as may be prescribed by the membership upon a vote taken.
SECTION 5. VICE-CHAIRMAN. The Vice-Chairman shall assume the duties of the Chairman in the absence of the Chairman.
SECTION 6. TREASURER. The Treasurer shall:
- Have charge and custody of and be responsible for all funds and securities of LAESA.
- Receive and give receipts for moneys due and payable to LAESA from and source whatsoever, and deposit all such money in the name of LAESA in such banks, trust companies or other depositories as shall be selected by vote of the membership at a regular meeting.
- In general perform all the duties as from time to time may be assigned to him/her by the Chairman of the Lake Area Emergency Services Administrators.
SECTION 7. SECRETARY. The Secretary shall:
- Keep the minutes of the regular meetings in books provided for that purpose.
- See that all notices are duly given in accordance with the provisions of these bylaws or as required by the vote of the membership.
- Be custodian of the corporate records and of the seal of the Corporation and see that the seal of the Corporation is affixed to all necessary documents.
- In general perform all duties incidental to the office of secretary and such other duties as from time to time may be assigned to him/her by the Chairman.
ARTICLE VII
Depositories
SECTION 1. PLACE. The Board may select any federally insured depository, as from time to time they may deem necessary.
ARTICLE VIII
Payments
SECTION 1. PAYMENTS No payment of funds shall be made except by check, and any such check shall be drawn and signed by the treasurer, and countersigned by the Chairman, Vice Chairman, or Secretary.
ARTICLE IX
Amendments
SECTION 1. AMENDMENTS. These bylaws may be amended by a majority vote of the member representatives present at any regular meeting of the Lake Area Emergency Services Administrators Division of LAESA.
ARTICLE X
Fiscal Year
SECTION 1. FISCAL YEAR. The fiscal year of LAESA shall run from January 1st to December 31st.
ARTICLE XI
Dissolution of Organization
SECTION 1. DISSOLUTION OF ORGANIZATION. In the event of dissolution of the organization, all remaining assets ,after paying any remaining debts, shall be returned to the member organizations in equal shares to provide training and education to the emergency personnel of their respective agency.
